Lemon Labs Studio provides custom software development, AI-enhanced application builds, workflow automation, dashboards, integrations, and related consulting services. Specific deliverables, timelines, and pricing are defined in a separate statement of work or subscription agreement executed before work begins.

3. Subscription & Billing

• Services are billed monthly in advance unless otherwise agreed in writing.
• Subscription fees are based on the selected plan and the scope of work in effect at the start of each billing cycle.
• Changes to tiers or scope take effect at the next billing cycle.
• Third-party API fees, paid cloud add-ons outside our standard stack, and custom assets outside the agreed scope are billed separately or passed through at cost.
• Payments are non-refundable except where required by law.

4. Intellectual Property

Upon full payment, the client receives ownership of the custom code, designs, and deliverables specifically created for their project under the agreed statement of work. Lemon Labs Studio retains ownership of pre-existing tools, frameworks, templates, and general methodologies. We reserve the right to showcase completed work in our portfolio unless otherwise agreed in writing.

5. Client Responsibilities

• Provide accurate information, timely feedback, and necessary access to systems required to complete the work.
• Ensure they have the right to use any materials, data, or third-party accounts they provide to us.
• Review deliverables and report defects within the timeframes specified in the statement of work.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement. This obligation survives termination of the agreement.

7. Limitation of Liability

To the maximum extent permitted by law, Lemon Labs Studio's total liability arising from or relating to our services shall not exceed the total amount paid by the client in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or data loss.

8. Warranty Disclaimer

Our services are provided "as is" and "as available." While we strive for high quality and reliability, we do not warrant that the deliverables will be error-free, uninterrupted, or compatible with every environment. We provide reasonable bug fixes and maintenance under the active subscription terms.

9. Termination

Either party may terminate a subscription or engagement with written notice as specified in the statement of work or subscription agreement. Upon termination, the client remains responsible for all fees incurred prior to the effective termination date.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Sheridan County, Wyoming.

11. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised effective date. Continued use of the site or services after changes constitutes acceptance of the updated Terms.
